Real Estate Acquisition and Development
We assist buyers and sellers in every aspect of the purchase or sale of residential and commercial property. Our services include the negotiating and drafting of letters of intent, purchase and sale agreements, leases, site development agreements, and condominium and planned community development documents. We conduct closings on behalf of buyers, sellers, and lenders and issue title insurance policies.
We represent commercial and residential developers in the acquisition of state and local authorizations for all forms of residential, commercial, and industrial projects. This includes counseling in zoning, site plans, subdivision matters, and related litigation before municipal and county boards and agencies. We negotiate and draft architectural and construction contracts on behalf of owners and contractors.
Our lawyers represent real estate lenders, borrowers, and investors in all types of financial transactions, including refinancing, property acquisition loans, development and construction loans, bond financing, and project and permanent financing. Our services include the negotiation and preparation of loan agreements, promissory notes, mortgages, security agreements, guaranties, hazardous materials agreements, collateral assignments of leases, and all other instruments that are part of secured lending.
Low Income Housing
We have experience representing tax exempt nonprofit corporations in low income housing projects financed through the syndication of low-income housing tax credits and/or tax exempt bonds and through funds available from various federal, state, and local government loan and grant programs. We represent these specialized clients in all aspects of construction and development, purchase and sale, financing, environmental compliance, land use, and other regulatory issues.
Property Tax Appeals, Tax Sale Matters, and Other Litigation
The Real Estate Group has experience in all aspects of property tax assessment and appeals with respect to many different types of properties as diverse as marinas, waterfront shipping facilities, shopping centers and malls, industrial plants, truck terminals and warehouses, commercial and professional office buildings, corporate headquarters, hotels, hospitals, and senior living facilities.
We also represent clients in all other areas of real estate litigation, including actions involving tax sales, zoning, rescission, specific performance, condemnation, partition, foreclosure, receivership, eviction, agreements of sale, construction defects, commission claims, title issues, quiet title, and mechanic's liens.
We have commercial, industrial, and residential leasing experience, including retail and office, industrial manufacturing and warehouse, and residential and apartment leasing. We represent landlords, tenants, and lenders in connection with commercial, industrial, and apartment leasing arrangements, and also handle the resolution, process for disputes involving leases.
Oil and Gas
The Group provides a full range of services related to oil and gas leasing as well as oil and gas well operation. We review leases for landowners and advise them how to protect their timber, farming and other interests on real estate which they desire to lease for exploration and production of oil and natural gas. We represent investors in oil and gas leases who wish to determine title to mineral rights prior to assigning leases, and we represent those investors in litigation in order to protect their investment. We also represent operators of oil and gas wells to ensure compliance with environmental and other regulatory requirements.
